Bylaws of Virginia CRNAs Who Care About Healthcare Political Action Committee

Article I: NAME

The name of this organization shall be Virginia CRNAs Who Care About Healthcare Political Action Committee.

Article II: ORGANIZATION

The Virginia CRNAs Who Care About Healthcare Political Action Committee shall be a voluntary, nonprofit, unincorporated committee, and may be deemed the political action arm of the Virginia Association of Nurse Anesthetists.

Article III: PURPOSE

The purpose of the Virginia CRNAs Who Care About Healthcare Political Action Committee shall be to promote the improvement of anesthesia healthcare by raising funds and expending such funds for the support of worthy candidates for state office who believe in and have demonstrated their beliefs in the legislative agenda of Virginia CRNAs issues and for the involvement of Virginia Association of Nurse Anesthetists in the political process and any incidental expense thereto.

Article IV: PARTICIPATION

All U.S. citizens are eligible to contribute to Virginia CRNAs Who Care About Healthcare Political Action Committee. The Board of Directors is authorized to solicit and accept contributions from any person from whom contributions may be lawfully solicited

Article V: CONTRIBUTIONS

Section I. Solicitation: All contributions to Virginia CRNAs Who Care About Healthcare Political Action Committee shall be voluntary. No contribution shall be solicited or secured by physical force, job discrimination, financial reprisal or threat thereof, or as a condition of employment.

Section 2. Oversight: Basic policies with respect to the receipt, expenditure and distribution of all contributions to Virginia CRNAs Who Care About Healthcare Political Action Committee shall be within the sole discretion of the Board of Directors.

Section 3. Compliance and Statute: Contributions shall be solicited, received, and expenditures made within applicable law.

Section 4. Financial Oversight: No contribution shall be accepted and no expenditure shall be made, by or on behalf of Virginia CRNAs Who Care About Healthcare Political Action Committee, at a time when there is a vacancy in the office of Treasurer. Any expenditure in excess of $500.00 shall have 2 Board Member signatures.

Article VI: SEPARATE SEGREGATED FUND

All contributions to Virginia CRNAs Who Care About Healthcare Political Action committee shall be maintained as a separate segregated fund (SSF) in one or more designated campaign depositories. All expenditures by Virginia CRNAs Who Care About Healthcare Political Action Committee in support of any candidate, political committee or activity related to involving CRNAs in the political process shall be made from the fund.

Article VII: BOARD OF DIRECTORS

Section 1. Composition and Appointments: The governing body of Virginia CRNAs Who Care About Healthcare Political Action Committee shall be the Board of Directors, which shall not exceed 10 members. All members of the Virginia CRNAs Who Care About Healthcare Political Action Committee Board shall be Virginia Association of Nurse Anesthetist members. All members of Virginia CRNAs Who Care About Healthcare Political Action Committee shall be residents of Virginia. The executive board shall be composed of the Chairperson, Vice-chairperson, Secretary and Treasurer as well as four members-at-large and one student from each nurse anesthesia school located in Virginia and appointed by Virginia Association of Nurse Anesthetist Board of Directors. Wherever feasible the Board shall appoint members with due regard for balance in geographic and political representation.

Section 2. Terms of Office: The term of each member of the Virginia CRNAs Who Care About Healthcare Political Action Committee’s Board of Directors shall be two years from January to December. No Director shall serve more than four consecutive two-year terms.

Section 3. Vacancies: Any vacancy occurring on the Board of Directors shall be filled by the board pursuant to Section 1.

Section 4. Responsibilities: The Board of Directors shall:
a. manage the affairs of Virginia CRNAs Who Care About Healthcare Political Action Committee,
b. determine procedures for collection and distribution of funds to candidates and political committees,
c. establish criteria and processes for endorsement of and contributions to state candidates,
d. establish committees of the Board of Directors as necessary,
e. elect all officers of the Board of Directors,
f. attend meetings,
g. support Virginia CRNAs Who Care About Healthcare Political Action Committee through financial contributions.

Section 5. Accountability: The Virginia CRNAs Who Care About Healthcare Political Action Committee Board of Directors shall report annually to the Virginia Association of Nurse Anesthetists Board.

Section 6. Voting: Each Director shall have one vote. There shall be no proxy voting.

Article VIII: OFFICERS

Section 1. Officers: The officers of the Board of Directors shall be the Chairperson, Vice Chairperson, Treasurer and Secretary.

Section 2. Election: Election of officers shall be held in January after the new Directors are appointed. Any officer vacancy during a term of office shall be filled by special election.

Section 3. Terms of Office: All officers shall be elected biennially, with the option of re-election.

Section 4. Chairperson: The Chairperson shall be the chief executive officer of Virginia CRNAs Who Care About Healthcare Political Action Committee and preside at the meetings of the Board of Directors and be an ex-officio member of all the committees.

Section 5. Vice Chairperson: The Vice Chairperson shall, in the absence of the Chairperson, preside at meetings of the Board. The Vice Chairperson shall assume the office of Chairperson if the Chairperson vacates the office or is unable to perform the duties herein prescribed in these Bylaws. The Vice Chairperson shall also oversee the fund-raising activities of the Virginia CRNAs Who Care About Healthcare Political Action Committee and perform other duties as assigned by the Chairperson or the Board of Directors.

Section 6. Treasurer: The treasurer shall be the chief financial officer, shall keep the financial records, and shall cause to be filed financial statements and reports as required by law and requested by the Board of Directors.

Section 7. Secretary: The Secretary shall perform such duties as are customarily performed by the secretary of an organization or as assigned by the Board of Directors.

Section 8. Director of Endorsements and Contributions: The Director of Endorsements and Contributions shall be responsible for carrying out the procedures and processes regarding the endorsement of and contributions to state candidates.

Article IX: MEETINGS

Section 1. Notice: Meetings of the Board of Directors shall be called by the Chairperson or on fifteen (15) days written request of three (3) members of the Board of Directors.

Section 2. Meetings: Meetings may be held by telephone conference call or by utilizing other forms of communication technology.

Section 3. Quorum: Fifty-one (51%) of the members (including at least two (2) officers) shall constitute a quorum at any meeting of the Board of Directors.

Article X: FISCAL YEAR

The fiscal year shall be from July 1 through June 30.

Article XI: DISSOLUTION

Dissolution of the Virginia CRNAs Who Care About Healthcare Political Action Committee requires a two-thirds (2/3) vote of the Virginia Association of Nurse Anesthetist’s Board of Directors provided the Directors have been given written notice of the dissolution at least thirty (30) days prior to the meeting. Any remaining funds in the treasury shall be dispersed at the discretion of the Board of Directors.

Article XII: PARLIAMENTARY AUTHORITY

All parliamentary situations in this organization not provided for in these Bylaws shall be governed by the then current edition of Robert’s Rules of Order, Newly Revised.

Article XIII: BYLAWS

The Bylaws may be amended by two-thirds (2/3) vote of the Board of Directors present and voting at a meeting provided the Directors have been given written notice of the proposed amendments at least thirty (30) days prior to the meeting.
